Subject to the restrictions and conditions set forth in these Terms, Sabra grants you a limited, revocable, non-transferable, non-exclusive license to access and use, view, download, and print any materials available on the Site for informational non-commercial purposes. This license shall not include any right: to distribute, resell or make any commercial use of the Site or any information, content and/or materials available on, within, via or in connection with the Site (collectively, “Content”); to any derivative use of the Site or its contents; or to use data mining, robots, or similar data gathering and extraction tools or techniques on the Site or attempt to gain any unauthorized access to our networks or systems.
Sabra accepts no liability for the accuracy or completeness or use of, and no liability to update, the Content contained on the Site. We make no guarantees regarding the availability of the Site. Additionally, we reserve the right, within our sole discretion, to discontinue the Site, or to restrict anyone’s access to the Site for any reason. You agree that we will not be liable to you or any third party for any such discontinuance or modification of the Site. Any rights not expressly granted by these Terms are reserved by us.
Warranties and Consents
You hereby warrant that all information, whether personal or otherwise, submitted by you via the Site is correct and current. You further warrant that you have the legal right and ability to agree to and be bound by these Terms. You additionally consent to the use of electronic signatures whenever necessary and acknowledge that such electronic signatures are legally binding and enforceable.
Intellectual Property Ownership
Any and all rights associated with the Site and its Content, including, without limitation, any inventive concepts, know-how, publicity rights, trademarks, trade-dress, trade secrets, copyrights and patents (“Intellectual Property”) are the sole property of Sabra or its licensors. Except as otherwise expressly authorized by these Terms, you may not copy, reproduce, modify, lease, loan, sell, create derivative works from, upload, transmit, or distribute the Intellectual Property of the Site in any way without Sabra’s express written consent. Except as provided herein, Sabra does not grant to you any express or implied rights to our or any third party’s Intellectual Property.
You hereby grant to Sabra a perpetual, irrevocable, worldwide, non-exclusive, fully paid, royalty-free, fully transferable and sub-licensable license to use any and all information, feedback, suggestions, ideas, content and materials submitted, uploaded or posted by you via or in connection with the Site and to exploit such information, feedback, suggestions, ideas, content and materials in any way, whether for profit or not, in any medium now known or hereafter discovered throughout the universe, without permission or notice or compensation to you.
You represent and warrant that you have the legal right and ability to grant the foregoing license to Sabra.
Any such submissions, uploads or postings on the Site are not made in confidence, and no fiduciary relationship is created between Sabra and you. You acknowledge and agree that you have no expectation of review, compensation or consideration from any and all exploitations by Sabra of your posted, uploaded or submitted information, feedback, suggestions, ideas, content or materials. To the extent that any moral rights or ancillary rights are involved, you agree not to enforce any such rights against Sabra.
Restrictions on Your Use
All Content is the property of Sabra and/or its licensors, affiliates or other third parties and is protected by copyright and trademark laws. This Agreement does not grant you any license to modify or alter any Content. You shall keep intact all proprietary notices, including copyright notices, contained on any downloadable Content. You shall be solely liable for any and all harm resulting from your use of the Site.

Most of our website’s functionality can be used without revealing any personal information, though for some specific features or services, personal information may be required. For example, submitting a request to have information mailed to you. If you do not use these specific features or services on the Website, then the only information we collect will be “Non-Personal Information” (i.e., information that cannot be used to identify you). Non-Personal Information includes information such as the web pages that you have viewed. In order to access certain features and benefits on our website, you may need to submit “Personally Identifiable Information” (i.e., information that can be used to identify you). Personally Identifiable Information can include information such as your name, home address, home telephone number and home email address. You are responsible for ensuring the accuracy of the Personally Identifiable Information you submit to Sabra.
What You Consent to by Using Our Website
Information We Collect
We gather two types of information about users through the website:
1. Non-Personal Information. When users come to our website, through the use of third-party analytic tools provided by Google Analytics, we may track, collect and aggregate Non-Personal Information indicating, among other things, which pages of our website were visited, the order in which they were visited, and which hyperlinks were “clicked.” Collecting such information may involve logging the IP address, operating system and browser software used by each user of the website. Although such information is not Personally Identifiable Information, Google Analytics may be able to determine from an IP address a user’s Internet Service Provider and the geographic location of their point of connectivity.

If you reject our Cookies, certain of the functions and conveniences of this website may not work properly, but you do not have to accept our Cookies in order to productively use many functionalities of the website.
2. Personally Identifiable Information. We collect Personally Identifiable Information that you provide to us when you send us email messages and/or request information on our website. We will use the Personally Identifiable Information that you provide to respond to your questions, or provide you with the specific information you request. Sabra’s website features an email notification service provided by a third party, S&P Global Market Intelligence, to which you may subscribe. Sabra does not maintain or have access to information you may choose to provide to S&P as part of their email notification service.
Confidentiality & Security of Personally Identifiable Information
We consider the confidentiality and security of your information to be of the utmost importance. We will use commercially reasonable efforts to keep your Personally Identifiable Information secure, and to protect your Personally Identifiable Information from unauthorized disclosure to or access by third parties. Please note that we do not guarantee the security of Personally Identifiable Information, and there is some risk that an unauthorized third party may find a way to circumvent our security systems or that transmission of your information over the Internet will be intercepted.
a. Disclosure to Sabra Operations and Maintenance Contractors. Our operations and maintenance contractors may have limited access to your Personally Identifiable Information in the course of providing products or services to us. These contractors may include vendors and suppliers that provide us with technology, services, and/or content related to the operation and maintenance of the Website. Access to your Personally Identifiable Information by these contractors is limited to the information reasonably necessary for the contractor to perform its limited function for us.
c. Business Transactions. Sabra may sell, transfer, or otherwise provide some or all of its assets, including your Personal Identifiable Information, to an affiliate or a third party in connection with a merger, acquisition, reorganization or sale of assets or in the event of bankruptcy.
Protecting Children’s Privacy
Sabra strongly believes in protecting the privacy of children. In line with this belief, we do not knowingly collect or maintain Personally Identifiable Information on our website from persons under 13 years of age, and no part of our website is directed to persons under 18 years of age. If you are under 13 years of age, then please do not use or access this website at any time or in any manner. We will take appropriate steps to delete any Personally Identifiable Information of persons less than 13 years of age that has been collected on our website without verified parental consent upon learning of the existence of such Personally Identifiable Information.

We may terminate your access to or use of this Site for any reason, including without limitation, if we believe that you have violated or acted inconsistently with these Terms. All of your warranties and indemnifications survive termination of this Agreement and any termination does not limit Sabra’s right to relief in law or equity. Sabra maintains the right to employ outside counsel and assume control of the defense and settlement of any matter subject to your indemnification obligation. All of your indemnification obligations, releases, and warranties under this Agreement shall stand even if Sabra is made aware of the possibility of damage before such damage occurs.
Choice of Law and Forum
This Agreement shall be exclusively governed by and construed in accordance the laws of the State of California, without regard to the conflict of laws provisions. You hereby agree to the exclusive subject matter and personal jurisdiction and venue of the state and federal courts located in the County of Los Angeles, State of California, and irrevocably waive any and all objections based upon jurisdiction or venue.
Severability and Integration
Unless otherwise specified herein, this Agreement constitutes the entire agreement between you and Sabra with respect to the Site and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Sabra with respect to the Site. If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties and the remaining portion shall remain in full force and effect.
Our failure to act with respect to any breach this Agreement does not waive our right to act with respect to any other breach of this Agreement.
You may not assign or delegate your rights or obligations under this Agreement. Any purported assignment or delegation by you shall be ineffective. We may freely assign or delegate any or all of our rights or obligations under this Agreement, without notice to you.
